PCRO is a “specialized” global business embedded within the Corporate Strategy and Dealmaking organization that has been given the mandate to provide deal support and manage post closing rights and obligations from divestments as well as legacy matters from past operations on behalf of the Downstream, Renewable Energy Solutions, Integrated Gas and Upstream businesses. We work in 50+ countries and have ~100 global, full-time employees directly or indirectly supporting PCRO at any given time. From resolving litigation and claims (environmental, tax and people-related) to supporting current deals and protecting value from past deals, we generate and protect value through thoughtful and innovative residual rights and liability management. We manage a host of obligations and liability risks including the following: 1) legal obligations (legislative or contractual), 2) constructive obligations (arising from normal business practices), 3) liability risk originating from business corporate and asset sales (including country exits), 4) third-party claims, 5) legacy discontinued operations, 6) former product sales and 7) orphaned outstanding issues. As a PCRO Commercial Advisor for LATAM you will have the opportunity to contribute to a dynamic team, leveraging and developing the following skills and experiences:
- Supporting deals from a PCRO perspective: you will understand the context of a deal, including the key financial, legal, commercial technical risks and opportunities and how they impact Shell post completion.
- Contribution to development and delivery of post completion and legacy business risk management strategies.
- Use analytical skills to address reversionary liabilities, often with incomplete or limited data. You will be expected to be proactive and contribute to scenario planning to create and protect value.
- Build up a network of internal and external business connections as you support management of the PCRO LATAM businesses and the associated post-closing and legacy matters.
- Engage with a cross section of functions to deliver business results - including, but not limited to, Finance, Treasury, Projects & Technology - Soil and Groundwater, Legal/Litigation, Tax, HR, and Corporate Relations.
The LATAM Commercial Advisor role will have the following key responsibilities:
- Demonstrate HSSE (health, safety, security, and environment) Goal Zero actions and behaviors in commercial delivery and broader PCRO deliverables.
- End to end management of the obligations and mitigation of liabilities
- Develop and maintain effective stakeholder relationships with internal business partners and external stakeholders.
- Partner with various functions and stakeholders in the development of operating plan submissions and determination of provision and contingencies for the LATAM portfolio.
- Operate as the focal point for Lubricants claims/requests in Brazil, arising from post completion activities.
- Provide end to end support to deals from a PCRO perspective, to ensure successful handover to PCRO as required, as well as support management of PCROs upon handover (post completion)
- Together with the LATAM Commercial Lead PCRO, deliver the annual disposal plan of redundant real estate properties in Brazil.
- Adhere and work within existing processes and control framework whilst driving identification of improvement opportunities to enhance controls and simplify processes, including use of digitalization.
- Partner with Finance to deliver timely liquidation of Companies within the PCRO LATAM portfolio.
- Use analysis and performance insights to drive learnings, establish best practice and make recommendations for inclusion in future transactions.
- Maintain effective performance management of own area by ensuring that assigned areas of responsibility are suitably tracked in appropriate PCRO digital tool to support performance management and reporting.
What we need from you?
- 7 years of relevant experience
- Bachelor’s degree is a must
- Strong Commercial (and related) skills and experience
- Skilled at interpreting and applying terms and conditions in legal and commercial agreements.
- Experience in supporting negotiation with 3rd parties.
- Experience in preparing and reviewing comprehensive financial analysis.
- Effective interpersonal skills to work with internal and external resources and parties to drive projects and resolve issues.
- Ability to develop strong networks (internal and external) and work through cross business/functional teams, driving progress with clear objectives and tight time constraints.
- Preparation of presentations and business writing. Strong presentation and communication skills - ability to present problems, opportunities & solutions to team members and management.
- Demonstrated improvements implemented through continuous improvement and curious mindset.
- Portuguese and English language proficiency is a must. Spanish speaking and writing proficiency would be a competitive advantage
- Candidate to be based in Brazil.
